Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of Prospena's website, dashboard, and AI-powered LinkedIn outreach services (together, the "Service"), provided by Prospena ("Prospena", "we", "us"). By booking a call, signing an order form, or using the Service, you agree to these Terms on behalf of yourself and the company you represent ("Client", "you").

This is a general-purpose template. It is not a substitute for advice from a qualified lawyer, and you should have it reviewed before relying on it in your business.

1. The Service

Prospena identifies buying intent, runs personalised LinkedIn outreach, and books qualified meetings on behalf of Client. The specific scope, targeting criteria, included seats, and pricing for each engagement are set out in the order form or proposal agreed between Prospena and Client, which forms part of these Terms.

2. Accounts and access

Client is responsible for keeping login credentials to the Prospena dashboard confidential and for all activity that happens under its account. Accounts are provisioned by Prospena; Client should notify us promptly of any unauthorised use.

3. Client responsibilities

Client agrees to:

  • Provide, or authorise us to use, the LinkedIn account(s) our campaigns run through, and confirm that doing so does not violate any agreement Client has with LinkedIn.
  • Review and approve outreach messaging before it goes live, and give timely feedback during onboarding.
  • Only target prospects and use messaging that complies with applicable law, including rules on unsolicited business communications in Client's target markets.
  • Provide accurate information about its product, pricing, and offer so outreach messaging is not misleading.

Prospena is not affiliated with, endorsed by, or sponsored by LinkedIn, and is not responsible for actions LinkedIn takes against an account as a result of Client's use of the Service outside the scope agreed with us.

4. Fees and payment

Fees are set out in the applicable order form and are due on the schedule stated there. Late payments may result in suspension of the Service until the account is brought current. Fees are non-refundable except where required by law or expressly agreed in writing.

5. No guarantee of results

Prospena works to identify high-intent prospects and book qualified meetings, but outcomes depend on factors outside our control, including market conditions, Client's offer, pricing, and reputation, and prospect responsiveness. We do not guarantee a specific number of meetings, replies, or closed deals.

6. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only to perform under these Terms, except where disclosure is required by law.

7. Intellectual property

Prospena retains all rights to its software, dashboard, playbooks, and methodology. Client retains all rights to its own brand, product information, and any content it provides to us. Client grants Prospena a limited licence to use that content solely to deliver the Service.

8. Warranties and disclaimers

The Service is provided "as is." To the maximum extent permitted by law, Prospena disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, Prospena's total liability arising out of or related to these Terms will not exceed the fees paid by Client in the three months preceding the claim, and Prospena will not be liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

10. Indemnification

Client agrees to indemnify and hold Prospena harmless from third-party claims arising from Client's breach of these Terms, misuse of the Service, or messaging content Client approved.

11. Term and termination

These Terms remain in effect for as long as Client has an active engagement with Prospena. Either party may terminate the engagement in accordance with the notice period stated in the applicable order form. Sections that by their nature should survive termination (including confidentiality, IP, and limitation of liability) will continue to apply.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Prospena is incorporated, without regard to conflict-of-law principles, unless otherwise agreed in writing.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date at the top of this page and, where appropriate, notify Client directly.
